Confidentiality Agreement For Drawing Use

This confidentiality agreement (“agreement”) is made and effective immediately between Integra Inc. (“Integra”) and you as the website visitor (“recipient”) for the purpose of defining the conditions under which Integra provides proprietary engineering information to the recipient.

1. Confidential Information
   
   Integra proposes to disclose certain confidential and proprietary information, specifically product drawings and engineering data, to the recipient. This agreement applies to any drawings provided by Integra.
   
   
2. Recipients Obligations
   
   
   1. Recipient agrees that the Confidential Information is to be considered confidential and proprietary to Integra and Recipient shall hold the same in confidence, shall not use the Confidential Information other than for the purpose of its business with Integra, and shall disclose it only to its officers, directors, or employees with a specific need to know.
      
      
   2. Recipient agrees that this information provided under this agreement is to be used for the sole purpose of incorporating the Integra products into the Recipient’s products and designs, and further for the use of creating assembly drawings, manuals, instruction sheets, or other collateral materials supporting the Recipients products.
      
      
3. Term
   
   The term of this agreement shall be ten years from the effective date of this agreement. The obligation not to disclose shall not be affected by bankruptcy, receivership, assignment, attachment, or seizure procedures
